SUMMARY

 

Provides legal advice and representation to the Company.  Supervises outside counsel on an occasional basis.  Manages certain transactions where legal issues dominate.  Engages with GD Corporate legal functions and committees as needed.

 

ESSENTIAL FUNCTIONS AND DUTIES

 

  • Advise and interact directly with middle and senior management.
  • Draft and review contracts, leases, settlement documents, policies, procedures, and corporate governance documents.
  • Negotiate with third parties regarding agreements, settlements, and regulatory compliance.
  • Manage outside counsel on matters as required.

     

    SKILLS AND QUALIFICATIONS

           

  • State Bar Membership. 
  • Substantial knowledge of and experience in one or more of the following: government contracts and compliance, Environmental law, U.S. import and export laws and regulations (ITAR, EAR, Customs, etc.), real estate and leases, commercial transactions.
  • At least 10 years of substantive work experience on transactional matters, particularly contract negotiations (both buy and sell side), writing policies and procedures, and corporate governance.  Previous in-house counsel experience is a plus.  NCMA and CCEP certifications both desirable.
  • Strong legal research (both statutory and case law) skills.
  • Excellent communication skills to translate legal requirements into business prerogatives.  Must be comfortable briefing Senior Management on legal and business issues.
  • Excellent writing skills.
  • Must be able to respect and relate to employees at all levels. 
  • Must be capable of acting on behalf of the General Counsel in his or her absence.

     

    WORKING RELATIONSHIPS

          

Reports to Vice President & General Counsel.  Acts independently in scheduling activities and work, subject to requests of the General Counsel.  Will interact and must forge relationships with NASSCO Supply Chain, Contracts, Environmental Engineering, Facilities, and Repair organizations, but will interact with all functions within the Company.

 

ACCOUNTABILITY

 

Will be expected to negotiate contracts and agreements on most favorable business terms possible; expected to manage and stay within established budgets for outside counsel; expected to be an active participant in Company’s Continuous Improvement culture.
