SUMMARY

Provides legal advice and representation to the Company.  Supervises outside counsel on a regular basis.  Manages certain transactions where legal issues dominate. Reports to Vice President and General Counsel.  Acts independently in scheduling activities and work, subject to requests of the General Counsel. Will interact with all functions in the Company.

 

ESSENTIAL FUNCTIONS AND DUTIES

  • Advise and interact directly with middle and senior management.
  • Draft legal briefs, contracts, leases, settlement documents.
  • Negotiate with third parties regarding agreements, settlements and regulatory compliance.
  • Represents the Company in legal actions and before public bodies. 
  • Manage outside counsel in litigation matters of significance to enterprise.
  • In all actions, acting as legal advisor within limits of authority granted by management.  Discretion also bounded by such authority.

 

SKILLS AND QUALIFICATIONS

  • State Bar Membership or California Registered In-house counsel required
  • At least 10 years of substantive work experience with commercial transactional matters and corporate law, particularly contract negotiations and disputes, writing policies and procedures, and corporate governance.  Previous in-house counsel strongly preferred
  • Knowledge of and experience in at least three of the following areas: environmental law, government contracts and compliance, U.S. import and export laws and regulations (ITAR, EAR, Customs, etc.) real estate and leases, labor and employment
  • Thorough knowledge of law applicable to matters for which advice and representation is required, and ability to judiciously use outside counsel to fill in specialized gaps
  • Experience managing outside counsel and legal budget oversight
  • Excellent communication skills to translate legal requirements into business prerogatives.  Must be comfortable briefing senior management on legal and business issues.
  • Excellent writing skills
  • Must be able to relate to employees at all levels
  • Capable of acting on behalf of General Counsel in his or her absence.

ACCOUNTABILITY

Will be expected to resolve litigation on most favorable business terms possible; expected to manage and stay within established budgets for outside counsel; expected to be an active participant in Company’s Continuous Improvement culture.

 

     PHYSICAL DEMANDS

Specific vision abilities required by this job include close vision, distance vision, peripheral vision, depth perception, and the ability to adjust focus. The employee is regularly required to sit, use hands to fingers, handle or feel objects, or controls, and to talk and hear.  Must be physically able to walk to all yard locations. The noise level in the work environment is usually moderate.
